These Terms of Service ("Terms") govern your access to and use of the RESUP mobile application, website, and related services (collectively, the "Platform") operated by RESUP Technologies ("RESUP", "we", "us"). By creating an account or using the Platform, you agree to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years old and operate a legitimate business to use RESUP. You are responsible for the accuracy of the information you provide and for all activity that occurs under your account. RESUP uses phone-number verification (one-time passwords) as the primary means of authentication; keep your device and codes secure.
2. Use of the Platform
RESUP connects retailers with verified suppliers, finance partners, logistics providers, and other participants in the commerce ecosystem. You agree to use the Platform only for lawful business purposes. You may not:
- Misrepresent your identity, business, or transactions;
- Interfere with or attempt to circumvent platform security;
- Use the Platform to facilitate fraud, money laundering, or any illegal activity;
- Resell or exploit any part of the Platform without authorization.
3. Orders & Payments
Prices, minimum order quantities, and stock are set by suppliers and may change. When you place an order you authorize payment through your chosen method — wallet, card, bank transfer, USSD, or approved credit. Payments are processed by licensed providers (Paystack and Flutterwave); RESUP does not store raw card data. Wallet balances are maintained on an immutable ledger.
4. Credit & Financing
Embedded credit is offered at the discretion of partner financial institutions, subject to your Retail Growth Score and the partner's lending criteria. Approval is not guaranteed. Credit facilities carry repayment obligations, interest, and fees disclosed at the point of offer. Missed repayments may affect your Growth Score and future eligibility.
5. Delivery
Deliveries are fulfilled by distributors and logistics partners. An order is only marked complete when you confirm receipt with your delivery PIN or when valid proof of delivery is captured. Estimated delivery times are indicative, not guaranteed.
6. Intellectual Property
All trademarks, logos, software, and content on the Platform are owned by RESUP or its licensors. These Terms do not grant you any right to use RESUP branding without prior written consent.
7. Suspension & Termination
We may suspend or terminate your account if you breach these Terms, pose a risk to other users, or as required by law. You may stop using the Platform at any time and request account deletion via our Delete Account page.
8. Disclaimers & Liability
The Platform is provided "as is". To the maximum extent permitted by law, RESUP is not liable for indirect or consequential losses arising from your use of the Platform, supplier conduct, or third-party financing decisions.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated in-app or by other reasonable means. Continued use after changes take effect constitutes acceptance.
